These Terms of Service ("Terms") govern your use of thegdcco.com (the "Site"), operated by The GDC Co. ("GDC," "we," "us," or "our"). By using the Site, you agree to these Terms. If you do not agree, please do not use the Site.
1. Our Services
GDC provides business brokerage, mergers and acquisitions advisory, and commercial real estate advisory services. Business brokerage services are offered through our affiliation with Hedgestone. The Site describes our services and allows you to contact us. It does not itself create an advisory, brokerage, agency, or fiduciary relationship.
An engagement with GDC begins only when both parties sign a written agreement setting out the scope, fees, and terms of that engagement.
2. No Professional Advice
Content on the Site is general information, not advice. Nothing here is legal, tax, accounting, investment, appraisal, or immigration advice, and you should not act on it without consulting a qualified professional licensed in the relevant jurisdiction.
References to visa programs, including E-2 and EB-5, are provided for general context only. GDC does not provide immigration legal services. Consult a licensed immigration attorney about your eligibility and process.
3. Business Valuation Calculator
The valuation tool on the Site produces a rough estimate based only on the figures you enter and generic market multiples. It is not an appraisal, a formal valuation opinion, a fairness opinion, or a representation of what any buyer would pay.
Actual transaction value depends on quality of earnings, customer concentration, lease terms, transferability, deal structure, financing, and market conditions that the tool does not assess. Do not rely on its output for any transaction, financing, tax, or legal decision.
The calculator runs in your browser. GDC does not receive, store, or review the figures you enter unless you separately send them to us.
4. No Offer or Solicitation
Nothing on the Site is an offer to sell or a solicitation of an offer to buy any business, security, or real property. Any listing information is preliminary, subject to change, and provided without representation or warranty. All opportunities are subject to confidentiality agreements, verification, and definitive documentation.
5. Text Messaging Program
If you provide your mobile number and consent through our chat widget, you may receive text messages from GDC about your inquiry, opportunities, and scheduling. Consent is not a condition of any purchase or service.

6. Information You Submit
You agree that information you submit is accurate and that you have the right to share it. Do not submit anyone else's confidential information without authorization.
We treat business information you share about a potential sale as confidential, as described in our Privacy Policy. Unsolicited ideas, proposals, or materials sent outside an engagement are not treated as confidential, and we may use them without obligation to you.
7. Acceptable Use
- Do not use the Site for any unlawful purpose or in violation of these Terms.
- Do not scrape, harvest, or collect information about other users.
- Do not attempt to gain unauthorized access to the Site or its systems.
- Do not submit false information or impersonate any person or entity.
- Do not interfere with or disrupt the Site.
8. Intellectual Property
The Site and its content, including text, design, graphics, and the GDC name and marks, are owned by GDC or its licensors and are protected by intellectual property laws. You may view and print pages for your own non-commercial use. You may not otherwise copy, reproduce, distribute, or create derivative works without our written permission.
9. Third-Party Links and Services
The Site links to third-party sites and uses third-party services, including Hedgestone, our chat and customer relationship platform, and our web host. We do not control those sites and services and are not responsible for their content, practices, or availability. Your use of them is governed by their own terms and privacy policies.
10. Disclaimer of Warranties
The Site and its content are provided "as is" and "as available," without warranties of any kind, express or implied, including any implied warranties of merchantability, fitness for a particular purpose, accuracy, or non-infringement. We do not warrant that the Site will be uninterrupted, error free, or secure, or that any information on it is complete or current.
11. Limitation of Liability
To the fullest extent permitted by law, GDC and its members, officers, employees, and affiliates will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any lost profits, lost business, or lost data, arising out of or relating to your use of the Site, whether based in contract, tort, or any other theory, even if advised of the possibility of such damages.
To the fullest extent permitted by law, our total liability arising out of or relating to the Site will not exceed one hundred United States dollars ($100).
12. Indemnification
You agree to indemnify and hold harmless GDC and its members, officers, employees, and affiliates from any claims, losses, liabilities, and expenses, including reasonable attorneys' fees, arising out of your use of the Site, your submissions, or your breach of these Terms.
13. Governing Law
These Terms are governed by the laws of the State of New York, without regard to its conflict of laws rules. Any dispute arising out of or relating to these Terms or the Site will be brought exclusively in the state or federal courts located in New York, and you consent to their jurisdiction.
14. Changes to These Terms
We may update these Terms from time to time. The revised version takes effect when posted, and the date at the top of this page will reflect the change. Your continued use of the Site after a change means you accept the revised Terms.
15. Severability
If any provision of these Terms is found unenforceable, that provision will be limited or removed to the minimum extent necessary, and the remaining provisions will stay in full force.
